Prezytion Terms of Service

1. Acceptance of Terms
By accessing or using the Prezytion website and any related online services (collectively, the "Website"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must immediately cease accessing or using the Website.
These Terms apply in addition to, and do not replace, the specific terms and conditions agreed in any separate proposal, statement of work, engagement letter, master services agreement, or non-disclosure agreement between you and Prezytion PLT (LLP0036270-LGN) ("Prezytion", "we", "our", "us") (collectively, "Engagement Agreements"). In the event of conflict between these Terms and an Engagement Agreement, the Engagement Agreement will prevail for that specific engagement only.
Your continued use of the Website after any amendment to these Terms constitutes acceptance of the revised Terms.
2. Definitions
For the purposes of these Terms:
- "Content" means all text, training materials, graphics, logos, icons, videos, images, articles, white papers, and other information available on or through the Website.
- "Services" means the executive advisory, training, facilitation, and consulting services provided by Prezytion as described in section 3.
- "Personal Data" has the meaning given under the Personal Data Protection Act 2010 (Malaysia), Personal Data Protection Act 2012 (Singapore), and UK General Data Protection Regulation, as applicable.
- "Engagement Agreement" means any written agreement (including proposals, statements of work, master services agreements, and engagement letters) executed between you and Prezytion for the provision of Services.
3. Services Description
Prezytion provides executive advisory, training, facilitation, and consulting services in the areas of artificial intelligence, cybersecurity, portless Zero Trust Network Access, and business transformation (the "Services"). The scope, fees, deliverables, timelines, and specific terms for the Services are defined in the applicable Engagement Agreements for each client engagement.
Nothing on this Website constitutes professional advice specific to your organisation or circumstances. Any insights, articles, case studies, or resources provided on the Website are for general informational and educational purposes only and should not be relied upon as a substitute for tailored professional advice. You should seek independent professional counsel before making decisions based on Content found on this Website.
4. Intellectual Property
4.1 Ownership
All Content on this Website, and all intellectual property rights therein, are and remain the exclusive property of Prezytion or its licensors and are protected by applicable intellectual property, copyright, trademark, and other proprietary rights laws.
4.2 Limited Licence to Users
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and view the Website and Content for your own internal, non-commercial use only. You may not, without our prior written consent:
- reproduce, modify, distribute, publicly display, perform, or create derivative works from any Content;
- use any Content for commercial purposes or public distribution;
- remove, alter, or obscure any copyright, trademark, or other proprietary notices;
- use automated systems (including bots, crawlers, or scrapers) to access or extract Content, except for standard search engine indexing; or
- reverse engineer, decompile, or disassemble any software or systems made available through the Website.
4.3 Client Materials and Deliverables
Where Prezytion provides you with training materials, slide decks, workbooks, frameworks, or other deliverables as part of the Services under an Engagement Agreement, your rights to use those materials will be governed by that Engagement Agreement. Unless expressly stated otherwise in writing, such materials are provided for internal use within your organisation only and may not be shared externally, resold, repackaged, or used for the provision of services to third parties.
4.4 Feedback
If you provide Prezytion with any feedback, suggestions, or ideas regarding the Website or Services ("Feedback"), you grant Prezytion a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such Feedback without restriction or compensation to you.
5. User Conduct and Prohibited Activities
When accessing or using the Website, you agree that you will not:
- violate any applicable law, regulation, industry code of practice, or professional standard;
- interfere with, disrupt, or compromise the security, integrity, availability, or performance of the Website or any related systems, networks, or infrastructure;
- attempt to gain unauthorised access to any part of the Website, user accounts, databases, data, or our networks, including through hacking, password mining, or any other means;
- use any automated system, tool, bot, crawler, scraper, or spider to access, monitor, extract, or copy the Website or Content without our prior written permission, except for standard search engine indexing for public search results;
- submit, upload, transmit, or post any information, data, or materials that are false, misleading, infringing, defamatory, obscene, threatening, harassing, discriminatory, or otherwise unlawful;
- upload or transmit any viruses, trojans, worms, malware, ransomware, or other harmful, malicious, or destructive code;
- impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
- use the Website or Services in any manner that could damage, disable, overburden, or impair Prezytion's reputation, operations, or the experience of other users; or
- encourage, facilitate, or assist any third party in doing any of the foregoing.
Prezytion reserves the right, at its sole discretion and without prior notice or liability, to suspend or terminate your access to the Website (in whole or in part) if there is reasonable belief that you have breached these Terms, engaged in conduct that may harm Prezytion, its clients, users, or reputation, or for any other reason deemed necessary to protect our rights or interests.
6. User Indemnification
You agree to indemnify, defend, and hold harmless Prezytion, its directors, officers, employees, agents, affiliates, contractors, and representatives (collectively, the "Prezytion Indemnitees") from and against any and all third-party claims, demands, actions, proceedings, liabilities, losses, damages, judgments, settlements, fines, penalties, costs, and expenses (including reasonable legal fees and disbursements on a solicitor-client basis) arising out of or in connection with:
- your use or misuse of the Website or Services;
- your breach of these Terms or any Engagement Agreement;
- your violation of any applicable law, regulation, or third-party right (including intellectual property, privacy, data protection, or confidentiality rights);
- any Content, data, or materials you submit, upload, or transmit via the Website; or
- your wilful misconduct, negligence, or fraudulent acts.
This indemnification obligation will survive termination or expiry of these Terms. Prezytion reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully with Prezytion in the defence of any such claim.
7. Confidentiality and Data Protection
7.1 Confidentiality
Information shared with Prezytion during consultations, workshops, training sessions, or formal engagements will be treated as confidential in accordance with the applicable Engagement Agreement and any separate non-disclosure agreement (NDA) entered into between you and Prezytion. Such agreements will prevail over this section in the event of any inconsistency.
Prezytion may use aggregated, anonymised, and de-identified data and insights derived from engagements for internal analytics, service improvement, thought leadership, benchmarking, and research, provided that no client, individual, or organisation is identifiable from such use.
7.2 Data Protection and Privacy
Your use of the Website is governed by our Privacy Policy (last updated 5 January 2025), which forms an integral part of these Terms. The Privacy Policy explains in detail:
- what Personal Data we collect (contact, professional, usage, and technical data) and from which sources (directly from you, automatically via cookies and analytics, and from B2B partners);
- the purposes and legal bases for processing Personal Data, including responding to enquiries, delivering Services, sending relevant updates, improving the Website, and protecting our rights;
- when and how we share Personal Data with service providers, business partners, and authorities;
- international data transfer safeguards (including standard contractual clauses and adequacy regulations);
- data retention periods;
- your rights under applicable data protection laws (Malaysia PDPA, Singapore PDPA, UK GDPR), including rights of access, rectification, erasure, restriction, objection, portability, and withdrawal of consent; and
- how cookies and similar technologies are used on the Website.
By using the Website, you acknowledge that you have read, understood, and agree to the collection, use, and disclosure of your Personal Data in accordance with the Privacy Policy. Where required by applicable law, we will obtain your separate, explicit consent before processing certain categories of Personal Data.
7.3 Data Breach Notification
In the event of a Personal Data breach affecting your Personal Data processed by Prezytion (whether as data controller or processor), Prezytion will notify you and, where required by applicable law, the relevant data protection authority, without undue delay and in any event:
- within 72 hours of becoming aware of the breach where required under UK GDPR or EU GDPR;
- within 3 calendar days of determining the severity of the breach where required under Singapore PDPA; or
- in accordance with the timelines prescribed by Malaysia PDPA and any applicable sectoral regulations.
Such notification will include, to the extent known at the time: the nature of the breach; categories and approximate number of data subjects and records affected; contact details of our data protection officer or responsible contact; likely consequences; and measures taken or proposed to address the breach and mitigate harm. Specific data breach notification obligations for Services provided under Engagement Agreements will be detailed in those agreements.
8. Disclaimer of Warranties
The Website, Content, and all information and materials made available through the Website are provided on an "as is" and "as available" basis without any warranties, representations, conditions, or guarantees of any kind, whether express, implied, statutory, or otherwise. Without limiting the foregoing, to the fullest extent permitted by law, Prezytion expressly disclaims all warranties, including any implied or statutory warranties of:
- merchantability, satisfactory quality, fitness for a particular purpose, accuracy, timeliness, or completeness;
- non-infringement of third-party intellectual property or other rights;
- uninterrupted, timely, secure, or error-free operation of the Website;
- freedom from viruses, malware, vulnerabilities, or other harmful components; or
- that any defects or errors will be corrected.
Prezytion does not warrant that the Website, Content, or any information available on or through the Website is accurate, complete, reliable, current, or suitable for your specific use case, circumstances, or jurisdiction. Outcomes from advisory, training, or consulting Services depend on multiple factors, including your organisation's environment, resources, personnel, implementation decisions, and external conditions, and cannot be guaranteed.
You acknowledge and agree that you use the Website and rely on any Content at your own risk and discretion. You are solely responsible for evaluating the accuracy, completeness, and usefulness of all Content and for obtaining independent professional advice before making any decisions based on information obtained from the Website.
Nothing in these Terms excludes or limits any warranty that cannot be excluded or limited under applicable law.
9. Limitation of Liability
9.1 Exclusion of Consequential and Indirect Damages
To the fullest extent permitted by law, Prezytion, its directors, officers, employees, agents, affiliates, contractors, licensors, and representatives (collectively, the "Prezytion Parties") shall not be liable to you or any third party for any:
- indirect, incidental, special, exemplary, punitive, or consequential damages or losses;
- loss of profits, revenue, contracts, business, goodwill, reputation, anticipated savings, or business opportunities;
- loss of or corruption to data, databases, or information;
- business interruption, loss of productivity, or loss of use;
- cost of procurement of substitute goods, services, or technology; or
- any other economic loss or damage,
arising out of or in connection with these Terms, your use of (or inability to use) the Website or Content, the Services, or any linked third-party website, regardless of the theory of liability (whether in contract, tort including negligence, statutory duty, strict liability, or otherwise), even if Prezytion has been advised of, knew of, or should have known of the possibility of such damages or losses.
9.2 Cap on Direct Liability for Website Use
Where liability cannot be excluded or limited under applicable law, Prezytion's total aggregate liability arising out of or relating to these Terms or your use of the Website (for all claims, causes of action, and theories of liability combined) shall be limited to the greater of:
- one hundred United States dollars (USD 100); or
- the minimum amount that applicable law requires Prezytion to accept liability for, if any.
This cap applies regardless of the number of claims or causes of action you may have.
9.3 Liability for Paid Services
The limitation in section 9.2 applies only to your use of the Website and free Content. For paid Services provided under an Engagement Agreement, any liability caps, exclusions, and indemnification obligations will be set out expressly in that Engagement Agreement and will apply only to that specific engagement. Where an Engagement Agreement is silent on liability, the limitation in section 9.2 will apply.
9.4 Mandatory Liability
Nothing in these Terms excludes or limits Prezytion's liability for:
- death or personal injury caused by Prezytion's negligence;
- fraud or fraudulent misrepresentation;
- any breach of obligations implied by section 12 of the Sale of Goods Act 1979 (UK) or equivalent provisions under Malaysian or Singapore law;
- wilful misconduct or gross negligence; or
- any other liability that cannot be excluded or limited under applicable law, including under the Contracts Act 1950 (Malaysia), Consumer Protection Act 1999 (Malaysia), Unfair Contract Terms Act (Singapore), or UK consumer protection legislation.
9.5 Section 29 Contracts Act 1950 Compliance
These limitations and exclusions of liability are intended to limit the extent and quantum of Prezytion's liability and the types of damages recoverable. They do not prohibit or absolutely restrict your right to commence legal proceedings or enforce your legal rights. You retain the full right to bring a claim, action, or proceeding against Prezytion in accordance with section 11 (Governing Law and Dispute Resolution), subject to the limitations and caps set out in this section 9. This clause is drafted to comply with section 29 of the Contracts Act 1950 (Malaysia).
9.6 Allocation of Risk
You acknowledge that these limitations and exclusions of liability reflect a reasonable and informed allocation of risk between you and Prezytion, and that Prezytion's pricing, business model, and willingness to make the Website and Content available to you reflect this allocation of risk and the limitations set out in this section 9.
10. Third-Party Links and Services
The Website may contain links to, or integrations with, third-party websites, platforms, applications, or services that are not owned, controlled, or operated by Prezytion (collectively, "Third-Party Services"). These links and integrations are provided solely for your convenience and do not constitute sponsorship, endorsement, approval, or recommendation by Prezytion of the Third-Party Services or their operators.
Prezytion is not responsible or liable for:
- the content, accuracy, legality, functionality, security, privacy practices, terms of use, or availability of any Third-Party Services;
- any loss, damage, or harm arising from your use of or reliance on Third-Party Services; or
- any data collection, processing, or sharing practices of third parties.
Your use of Third-Party Services is entirely at your own risk and is subject to the terms, conditions, and privacy policies of those third parties, which you should review independently. Prezytion makes no warranties or representations regarding Third-Party Services.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles.
11.2 Negotiation and Mediation
Where a dispute, controversy, or claim arises out of or in connection with these Terms, the Website, or your use thereof (a "Dispute"), the parties shall first use good faith and reasonable efforts to resolve the Dispute through direct negotiation between senior representatives of each party within thirty (30) calendar days of written notice of the Dispute.
If the Dispute cannot be resolved through negotiation within such period, either party may refer the Dispute to non-binding mediation administered by a mutually agreed mediator or mediation service provider in Malaysia, to be conducted in English and concluded within sixty (60) calendar days of referral.
11.3 Jurisdiction
If the Dispute cannot be resolved through negotiation or mediation, you agree that the courts of Malaysia shall have exclusive jurisdiction to resolve the Dispute. Each party irrevocably submits to the exclusive jurisdiction of the Malaysian courts and waives any objection to proceedings in such courts on the grounds of venue, inconvenience, or otherwise.
11.4 Injunctive Relief
Nothing in this section 11 limits Prezytion's right to seek interim, interlocutory, or injunctive relief (including orders for specific performance, account of profits, delivery up, or destruction of infringing materials) in any court of competent jurisdiction, including in Malaysia, the United Kingdom, Singapore, or any other jurisdiction where such relief is necessary or appropriate to protect Prezytion's intellectual property, confidential information, reputation, or other rights.
12. Force Majeure
Prezytion shall not be liable for any failure or delay in performing its obligations under these Terms (including obligations to provide access to the Website or to respond to enquiries) where such failure or delay is due to circumstances beyond Prezytion's reasonable control, including but not limited to:
- acts of God, including earthquakes, floods, storms, pandemics, epidemics, or other natural disasters;
- war, invasion, acts of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, or military or usurped power;
- terrorism, sabotage, riots, civil commotion, or civil unrest;
- government or regulatory action, including sanctions, embargoes, import or export restrictions, quarantine requirements, lockdowns, or changes in law;
- failure or shortage of power, fuel, utilities, transportation, or telecommunications;
- labour disputes, strikes, or lockouts (other than those involving Prezytion's own employees);
- failure or default by third-party service providers, hosting providers, internet service providers, or cloud infrastructure providers; or
- cyberattacks, distributed denial of service attacks, hacking, or other malicious digital interference not caused by Prezytion's negligence.
Where a force majeure event occurs, Prezytion will notify you as soon as reasonably practicable, use reasonable efforts to mitigate the impact and resume performance, and be excused from performance for the duration of the force majeure event. If a force majeure event continues for more than ninety (90) consecutive days, either party may terminate these Terms (as they apply to that party) on written notice, without liability save for obligations accrued prior to termination.
This clause does not excuse you from payment obligations for Services already provided under an Engagement Agreement.
13. Changes to Terms and Privacy Policy
Prezytion may update, amend, or modify these Terms or the Privacy Policy from time to time at its sole discretion to reflect changes in our practices, technologies, legal or regulatory requirements, or for other operational, commercial, or legal reasons.
Changes will become effective immediately upon posting on this page or the relevant policy page, with the "Last updated" date shown at the top. Where required by applicable law (including under the Malaysia PDPA, Singapore PDPA, or UK GDPR), or where changes are material and adverse to your rights, Prezytion will provide additional notice via email (if you have provided us with an email address) or a prominent notice on the Website.
Your continued use of the Website after any changes are posted constitutes your acceptance of the revised Terms or Privacy Policy. If you do not agree to the updated Terms or Privacy Policy, you must stop using the Website immediately and, where applicable, notify Prezytion in writing in relation to any impact on your existing Engagement Agreements.
We encourage you to review these Terms and the Privacy Policy periodically.
14. Termination
14.1 Termination by Prezytion
Prezytion may, at its sole discretion and without prior notice or liability, suspend, restrict, or terminate your access to the Website (in whole or in part), or terminate these Terms as they apply to you, at any time and for any reason, including but not limited to:
- breach or suspected breach of these Terms or any Engagement Agreement;
- conduct that Prezytion reasonably believes may harm, damage, or expose Prezytion, its users, clients, or reputation to liability or reputational harm;
- violation of applicable law or regulation;
- prolonged inactivity;
- fraudulent, abusive, or suspicious activity; or
- for operational, commercial, or legal reasons.
14.2 Termination by You
You may terminate these Terms at any time by ceasing all use of the Website and, if applicable, requesting deletion of your Personal Data in accordance with the Privacy Policy.
14.3 Effect of Termination
Upon termination:
- all licences and rights granted to you under these Terms will immediately cease;
- you must immediately cease all use of the Website and Content and destroy any copies of Content in your possession or control;
- sections 4 (Intellectual Property), 6 (User Indemnification), 7.1 (Confidentiality), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 11 (Governing Law and Dispute Resolution), 14.3 (Effect of Termination), and 16 (General Provisions) will survive termination and continue in full force and effect; and
- termination will not affect any rights, obligations, liabilities, or remedies that have accrued prior to termination.
Termination of these Terms does not automatically terminate any separate Engagement Agreement, which will continue to be governed by its own terms unless expressly terminated in accordance with that agreement.
15. Severability
If any provision of these Terms is found by a court or other competent authority to be invalid, illegal, void, or unenforceable under any applicable law, such provision will, to the extent possible, be modified and interpreted to accomplish the objectives of the original provision to the fullest extent permitted by law. If such modification is not possible, the invalid or unenforceable provision will be severed and deleted from these Terms, and the remaining provisions will continue in full force and effect and will not be affected or impaired in any way.
The parties agree that if any limitation or exclusion in section 9 (Limitation of Liability) is found to be invalid or unenforceable, Prezytion's liability will be limited to the maximum extent permitted by applicable law.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable Engagement Agreements, constitute the entire agreement and understanding between you and Prezytion in relation to your use of the Website and supersede all prior or contemporaneous agreements, understandings, representations, warranties, and communications (whether written or oral) relating to such subject matter.
16.2 No Waiver
No failure or delay by Prezytion in exercising any right, power, or privilege under these Terms will operate as a waiver thereof, nor will any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. Any waiver must be in writing and signed by an authorised representative of Prezytion to be effective.
16.3 No Agency or Partnership
Nothing in these Terms creates, or is intended to create, any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Prezytion. You have no authority to make or accept any offers or representations on behalf of Prezytion.
16.4 Assignment
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without Prezytion's prior written consent. Prezytion may assign, transfer, or delegate its rights and obligations under these Terms at any time without notice or consent, including to any affiliate, successor, or acquirer of Prezytion's business or assets. These Terms will bind and inure to the benefit of each party's permitted successors and assigns.
16.5 Notices
All notices, requests, consents, and other communications under these Terms must be in writing and will be deemed given:
- when delivered by hand;
- when sent by email to the email address provided by the recipient, if confirmation of transmission is received; or
- five (5) business days after being sent by prepaid registered or certified post, return receipt requested, to the address provided by the recipient.
Notices to Prezytion should be sent via the contact form at https://prezytion.com/contact.php or to such other address as Prezytion may notify you from time to time.
16.6 Language
These Terms are drafted and executed in the English language. If these Terms are translated into any other language, the English language version will prevail to the extent of any inconsistency or ambiguity.
16.7 Headings
Headings and section titles in these Terms are for convenience and reference only and do not affect the interpretation or construction of these Terms.
